These Terms of Service ("Terms") govern your access to and use of quarterlease.com and the Quarterlease application, including all content, tools, and functionality (the "Service"), provided by Quarterlease LLC, a Utah limited liability company ("Quarterlease," "Company," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
Quarterlease is software that helps tax professionals calculate estimated tax obligations and produce reports. It is a calculation and workflow tool. It is not tax, accounting, legal, or financial advice, and it does not replace the professional judgment of a qualified preparer. See our disclaimer for more.
2. Eligibility
You must be at least 18 years old to use the Service. By using it, you represent that you meet this requirement and that you are authorized to act for the firm on whose behalf you subscribe.
3. Accounts and security
You agree to provide accurate account information and to keep your credentials secure. You are responsible for all activity under your account and for the conduct of users you add. Notify us promptly of any unauthorized use.
4. Acceptable use
You may use the Service only for lawful purposes and in line with these Terms. You agree not to violate any law, infringe the rights of others, attempt to gain unauthorized access to the Service or its systems, interfere with its operation, reverse engineer it, resell it without permission, or use automated means such as bots or scrapers without our consent.
5. Professional responsibility
You are solely responsible for the data you enter and for reviewing every estimate and report before relying on it or delivering it to a client. Tax calculations depend on inputs, assumptions, and current law. You should verify results against the relevant facts and authoritative sources. Quarterlease does not prepare or file returns, does not make tax payments, and does not give tax advice.
6. Subscriptions, billing, and renewals
- Paid plans are billed in advance on a monthly or annual basis through our payment provider, and renew automatically until canceled.
- Fees are stated on the pricing page and may change with notice. Changes take effect at the start of your next billing period.
- Add-ons, such as client import at a per-record rate, are billed as used.
- You are responsible for any applicable taxes. Unless required by law or stated in a signed agreement, fees are non-refundable for partial periods. See our refund policy.
7. Free trial
If we offer a free trial, you can use the Service during the trial without charge. Unless you cancel before the trial ends, the subscription you selected begins and billing starts. Trial terms in effect at signup control.
8. Your data and content
You keep all rights to the data you enter. You grant Quarterlease the limited rights needed to host and process that data to provide and support the Service. Our handling of data, including taxpayer client data you enter, is described in the privacy policy.
9. Intellectual property
The Service, including its software, design, text, graphics, and trademarks, is the property of Quarterlease LLC or its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership in the Service to you. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted.
10. Third-party services
The Service relies on third-party providers, such as hosting and payment processing, and may link to third-party sites. We do not control those services and are not responsible for their content or practices. Your use of them is at your own risk and subject to their terms.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that calculations will be error-free, that the Service will be uninterrupted, or that results will meet any particular requirement. 12. Limitation of liability
To the maximum extent permitted by law, Quarterlease LLC and its owners, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or data, arising from or related to your use of the Service. 13. Indemnification
You agree to indemnify and hold harmless Quarterlease LLC and its affiliates from any claims, damages, liabilities, or expenses, including reasonable attorneys' fees, arising from your use of the Service, your data, or your violation of these Terms.

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service. On termination, your right to use the Service ends, subject to the data retention described in the privacy policy.
15. Governing law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
16. Dispute resolution
Any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration administered by the American Arbitration Association, held in Salt Lake County, Utah.
